The owners of Kaarli Hambapolikliinik OÜ and DenCap Investeeringud OÜ, subsidiary undertaking of BaltCap Private Equity Fund, have concluded a contract by which DenCap Investeeringud OÜ acquires 100% of the shares in Kaarli Hambapolikliinik OÜ.

The sellers were advised in negotiating and preparing the transaction by Partners and Attorneys-at-law Ergo Blumfeldt and Tanel Kalaus, Attorney-at-law Siim Maripuu and Attorney Mikk Põld.

The parties do not disclose the transaction price.

According to BaltCap, Kaarli Hambapolikliinik OÜ will continue operation as an independent company according to its existing principles. The patients’ dental care and service provision conditions will not change in the clinics of Kaarli Hambapolikliinik OÜ.

The representative of current owners of Kaarli Hambapolikliinik OÜ, Laidar Laos stated that the wish to buy came from BaltCap. “We found that our values match, we share a similar vision in terms of continuing independently with the company and its trademark, and the developments, which have been already started, will be successfully implemented by the new owner,” said Laos.

According to Martin Kõdar, Managing Partner of BaltCap, the investment made into Kaarli Hambapolikliinik OÜ is well suited to their long-term strategy in order to expand the group of clinics in the portfolio of DenCap.

Kaarli Hambapolikliinik OÜ has been consistently operating since 1998. The main area of activity of the company is the provision of different dental care services. Kaarli Hambapolikliinik OÜ has four operational units – Kaarli Dental Clinic, Sõpruse Dental Clinic, Ülemiste Dental Clinic and Kaarli Dental Lab. All in all, all units of   Kaarli Hambapolikliinik OÜ have 43 dental cabinets. In 2017, the number of patient visits at Kaarli Hambapolikliinik OÜ was 91,801 and the turnover of the company amounted to 9.4 million euros.
